License Agreement

This End-User License Agreement ("EULA", "Agreement") is a legal contract between you ("Licensee", "you") and WHATSENDER PRO ("Licensor", "we", "us") for the WHATSENDER PRO desktop software, Chrome extension (where licensed), documentation, updates, and related materials (collectively, the "Software").

By installing, activating, purchasing, or using the Software, you agree to be bound by this EULA. If you do not agree, do not install, activate, or use the Software.

This EULA supplements — and does not replace — our Terms of Service, Privacy Policy, Refund Policy, Anti-Spam Policy, and Cyber Law & IPC Compliance Policy. In the event of conflict, the Terms of Service prevail unless mandatory law requires otherwise.

Subject to your compliance with this EULA and payment of applicable license fees, WHATSENDER PRO grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software on a single Windows PC for your internal business purposes during the licensed term.

• Standard Edition: one fixed-term license per machine as stated at purchase.
• Business Edition: subscription license (3-month, 6-month, or 1-year) per machine unless a written bulk agreement states otherwise.
• Evaluation or promotional keys, if issued, are time-limited and may be revoked without notice.
• No license grants you rights to future products, modules, or editions not explicitly included in your purchase plan.
• WHATSENDER PRO may change edition features, pricing, and packaging at any time for new purchases without affecting prior written bulk contracts.

• Once activated, a license may not be regenerated, transferred, changed, or reactivated on another system except as expressly approved by WHATSENDER PRO under our discretionary transfer policy.
• This restriction applies even if your computer is formatted, lost, damaged, replaced, or you no longer have access to the original system.
• Each license key may be activated on only one machine at a time. The license is securely linked to the originally activated computer as part of our licensing and security system.
• Virtual machines, emulators, and cloud-desktop environments may be restricted unless explicitly permitted in writing.
• Tampering with activation, hardware fingerprinting, or license validation is strictly prohibited.
• Sharing one license across multiple users, offices, or devices is a material breach of this EULA.
• Requesting duplicate keys, replacement keys, or reactivation without approved transfer is not a right and may be denied.
• WHATSENDER PRO may log activation timestamps, hardware identifiers, IP addresses, and license validation events for fraud prevention and audit purposes.

Why Machine Binding Applies

• Protect customer data and license information.
• Prevent unauthorized license sharing or misuse.
• Maintain the security and integrity of the activation system.
• Ensure fair licensing for all customers.

Discretionary Transfer (90% Fee)

You have no right to transfer an activated license. WHATSENDER PRO may, at its sole discretion, approve a one-time transfer or reactivation to a different machine after verification. Any approved transfer requires payment of a non-refundable fee equal to ninety percent (90%) of the original license purchase price. Denial of a transfer request does not entitle you to a refund or credit.

You may NOT:

1. 01 Copy, distribute, rent, lease, lend, sell, sublicense, or make the Software available to third parties.
2. 02 Reverse engineer, decompile, disassemble, or attempt to derive source code or algorithms.
3. 03 Modify, adapt, translate, or create derivative works based on the Software.
4. 04 Remove, alter, or obscure proprietary notices, branding, or license watermarks.
5. 05 Use the Software to develop a competing product or service.
6. 06 Circumvent technical protection measures, license checks, or usage limits.
7. 07 Use the Software for spam, phishing, unlawful messaging, or harassment.
8. 08 Publish license keys, cracks, or activation bypass methods online or offline.
9. 09 Use the Software in violation of WhatsApp, Meta, Google, Twilio, AI provider, or telecom regulations.
10. 10 Process personal data without lawful authority, notice, or consent where required by DPDP Act, GDPR, or local law.
11. 11 Record calls or capture communications without required consent in your jurisdiction.
12. 12 Misrepresent your identity, business, or affiliation when messaging through the Software.
13. 13 Use purchased, scraped, or stolen contact lists without documented opt-in consent.
14. 14 Attempt to overload, scrape, or abuse WHATSENDER PRO servers, license systems, or support channels.

License fees are due in full at purchase unless a written reseller or enterprise agreement states otherwise. Prices, taxes, currency conversion, and payment processor fees are your responsibility unless explicitly included at checkout.

You represent that all billing information provided is accurate and that you are authorized to use the selected payment method. WHATSENDER PRO may decline, cancel, or reverse transactions suspected of fraud, sanctions violations, or policy breach.

Business Edition subscriptions do not auto-renew unless explicitly enabled at purchase. Expired subscriptions require repurchase or renewal at then-current pricing. Lapsed licenses do not guarantee grandfathered rates.

• License keys are delivered electronically; delivery is deemed complete when sent to your purchase email.
• Chargebacks or payment disputes filed without contacting support first constitute material breach.
• Duplicate purchases, mistaken edition purchases, or buyer remorse are governed by our Refund Policy, not this EULA.
• Promotional discounts, coupons, and bundle offers cannot be combined unless expressly stated.

Software licenses are generally final once issued or activated, as detailed in our Refund Policy. Because WHATSENDER PRO is downloadable digital software that can be used immediately upon activation, you acknowledge that revocation of access after use may not fully undo value received.

International purchases are non-refundable once the license key is delivered, whether or not activation has occurred, unless mandatory consumer law in your jurisdiction requires otherwise.

No refund is available for licenses terminated due to breach, piracy, spam, cyber law violations, chargeback abuse, or Terms/EULA violations.

During an active license term, you may receive software updates, patches, and bug fixes at our discretion. We do not guarantee uninterrupted release schedules or backward compatibility with every WhatsApp or Windows update.

Technical support is provided via email and documentation for active licenses only. Support does not include custom development, on-site installation, or training unless purchased separately.

Expired licenses do not entitle you to new versions, security patches released after expiration, or priority support.

The Software operates primarily on your local Windows PC. Contacts, message content, campaign data, recordings, exports, and API credentials you enter are stored on your device unless you explicitly configure cloud or third-party integrations.

You are solely responsible for backing up your data, securing your PC, antivirus protection, access controls, and complying with data protection laws for information you process through the Software.

WHATSENDER PRO does not routinely access, host, or monitor your message content or contact databases on its servers. Limited activation, billing, support, and fraud-prevention data may be processed as described in our Privacy Policy.

You are the Data Fiduciary or data controller for recipient and customer data processed through the Software. WHATSENDER PRO is not responsible for your consent records, retention schedules, cross-border transfers, or data subject requests.

• You must not import unlawful, stolen, or non-consensual contact databases.
• You must secure exported CSV, vCard, chat logs, and recording files on your systems.
• Data loss from hardware failure, ransomware, theft, or WhatsApp account restrictions is your risk.
• WHATSENDER PRO has no obligation to recover, restore, or retrieve data stored only on your device.

All trademarks, logos, user interface designs, code, documentation, and marketing materials associated with WHATSENDER PRO are the exclusive property of WHATSENDER PRO or its licensors. Unauthorized use is prohibited.

• Feedback or suggestions you provide may be used by WHATSENDER PRO without compensation or attribution.
• Third-party names (WhatsApp, Meta, Google, Twilio, etc.) are trademarks of their respective owners.
• Open-source components, if any, remain subject to their respective licenses as documented in the Software.
• Unauthorized reproduction of installers, documentation, screenshots, or marketing assets is prohibited.
• WHATSENDER PRO may pursue civil and criminal remedies against piracy, key sharing, and brand misuse.

The Software may integrate with WhatsApp Web, Meta Cloud API, Google services, Twilio, AI providers, email gateways, and other third-party platforms. WHATSENDER PRO is not affiliated with, endorsed by, or responsible for those providers.

You must obtain your own API keys, developer accounts, and paid usage quotas directly from each provider. WHATSENDER PRO does not supply free API access and is not liable for provider pricing, outages, policy changes, or account suspensions.

Changes to third-party APIs, anti-spam systems, browser security, or WhatsApp protocols may disable or alter Software features without constituting breach of this EULA.

1. 01 Comply with each provider's terms, commerce policies, and acceptable use rules independently.
2. 02 Pay all conversation, SMS, voice, AI token, and hosting fees billed by third parties.
3. 03 Accept that WhatsApp number bans, template rejections, and quality rating penalties are your sole responsibility.
4. 04 Indemnify WHATSENDER PRO for claims arising from your connected accounts and API usage.

Your use of the Software must comply with India's Information Technology Act, 2000, IT Rules 2021, the Digital Personal Data Protection Act, 2023, applicable IPC/BNS provisions, TRAI marketing rules where relevant, and equivalent laws in your jurisdiction. • No phishing, identity theft, fraud, malware distribution, or unauthorized system access.
• No obscene, exploitative, hate, or child-harm content.
• No harassment, threats, extortion, defamation, or stalking campaigns.
• No circumvention of DND, consent, or telecom regulations for commercial outreach.
• Cooperate with lawful investigations and preserve records when required by applicable law.

WHATSENDER PRO does not warrant that the Software will meet your requirements, achieve specific business results, deliver messages without failure, prevent WhatsApp account restrictions, or remain compatible with WhatsApp or third-party services at all times.

• No warranty that bulk campaigns will avoid blocks, bans, or delivery failures.
• No warranty of error-free operation, virus-free installers, or compatibility with every antivirus or firewall configuration.
• No warranty that features demonstrated in marketing will remain available in future versions.
• Any oral or written statements by resellers, affiliates, or support staff do not create warranties unless confirmed in writing by WHATSENDER PRO.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WHATSENDER PRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, BUSINESS OPPORTUNITY, REGULATORY FINES, RECIPIENT CLAIMS, OR ACCOUNT SUSPENSION BY WHATSAPP OR OTHER PLATFORMS.

• WHATSENDER PRO is not liable for acts or omissions of resellers, affiliates, payment processors, or third-party API providers.
• WHATSENDER PRO is not liable for downtime caused by your internet, PC hardware, Windows updates, or third-party service outages.
• WHATSENDER PRO is not liable for business losses arising from campaign timing, message wording, or audience targeting decisions you make.
• WHATSENDER PRO is not liable for unauthorized access to your device, leaked API keys, or misuse by your employees or contractors.

You agree to indemnify, defend, and hold harmless WHATSENDER PRO, its owners, directors, officers, employees, agents, affiliates, and partners from any claim, fine, penalty, investigation, prosecution, or expense (including reasonable legal fees) arising from or related to:

1. 01 Your installation, activation, use, or misuse of the Software.
2. 02 Messages, recordings, media, links, or campaigns you send or schedule.
3. 03 Your contact lists, consent practices, and handling of personal data.
4. 04 Breach of this EULA, Terms of Service, Anti-Spam Policy, or Cyber Law Compliance Policy.
5. 05 Violations of IT Act, DPDP Act, IPC/BNS, TRAI, GDPR, or other applicable law.
6. 06 Complaints by recipients, Meta/WhatsApp, carriers, regulators, or data protection authorities.
7. 07 Your connected API accounts, third-party fees, and provider policy violations.
8. 08 Piracy, unauthorized sharing, chargeback fraud, or reseller misconduct attributable to you.
9. 09 Negligent or wrongful acts by your employees, contractors, agencies, or end users.

This EULA is effective until terminated. Your rights under this EULA terminate automatically upon expiration of your license term or immediately upon breach.

WHATSENDER PRO may suspend or terminate your license immediately, without notice, for suspected fraud, piracy, spam, cyber law violations, chargeback abuse, API misuse, or any material breach.

Upon termination, you must cease all use of the Software and uninstall it from your devices. Provisions that by nature should survive (IP, disclaimers, liability limits, indemnity, governing law, payment obligations) shall survive termination.

Termination for breach does not entitle you to a refund, transfer, credit, or damages.

WHATSENDER PRO may refuse future sales or activations to terminated users or associated email, payment, or machine identifiers.

• WHATSENDER PRO may request reasonable proof of license ownership, purchase receipt, machine activation details, or business authorization during support or fraud investigations.
• Failure to provide valid license proof within 7 days of request may result in suspension or permanent revocation.
• Resellers and agencies must maintain records of end-user license assignments and cooperate with compliance audits.
• All users must comply with our Cyber Law & IPC Compliance Policy (/cyber-law-compliance-policy/), including IT Act, IPC/BNS, TRAI, and DPDP obligations when using the software or website services.
• WHATSENDER PRO may monitor publicly available abuse reports, piracy sites, and payment fraud signals to protect its licensing system.

Unless you hold a written authorized reseller agreement with WHATSENDER PRO, you may not resell, bundle, white-label, or distribute license keys commercially.

Authorized resellers must pass through all applicable policies to end users, maintain accurate customer records, and not promise rights WHATSENDER PRO has not granted — including free transfers, lifetime licenses, or multi-device activations.

WHATSENDER PRO may revoke reseller status, withhold commissions, and terminate associated licenses for misleading sales, chargebacks, or policy violations.

• Resellers indemnify WHATSENDER PRO for end-user claims arising from their marketing statements or support practices.
• Bulk or enterprise pricing requires written approval and does not apply retroactively to prior purchases.
• End users must activate licenses in their own business name unless a valid agency deployment agreement exists.

WHATSENDER PRO shall not be liable for any delay or failure to perform resulting from events beyond its reasonable control, including acts of God, war, terrorism, labor disputes, internet or power outages, government actions, platform API shutdowns, WhatsApp policy changes, cyberattacks on third-party infrastructure, or failures of payment processors and hosting providers.

You may not assign, delegate, sublicense, or transfer this EULA or any license rights without WHATSENDER PRO's prior written consent. Any attempted assignment without consent is void.

WHATSENDER PRO may assign this EULA, license records, and related rights to an affiliate, successor, or acquirer without your consent.

Before initiating formal proceedings, you agree to contact WHATSENDER PRO support and allow thirty (30) days to attempt good-faith resolution of any dispute relating to this EULA or the Software.

To the extent permitted by law, you waive any right to participate in a class action, collective action, or representative proceeding against WHATSENDER PRO relating to the Software.

This EULA, together with the Terms of Service, Privacy Policy, Refund Policy, Anti-Spam Policy, and Cyber Law Compliance Policy, constitutes the entire agreement between you and WHATSENDER PRO regarding the Software and supersedes prior oral or written understandings.

If any provision of this EULA is held invalid or unenforceable, the remaining provisions remain in full force and the invalid provision shall be modified to the minimum extent necessary to make it enforceable.

No failure or delay by WHATSENDER PRO in enforcing any right shall constitute a waiver of that right.

This EULA is governed by the laws of India, including the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023, without regard to conflict-of-law principles.

Subject to mandatory consumer protections, you agree that courts at New Delhi, India shall have exclusive jurisdiction over disputes arising from this EULA.

Electronic acceptance — including clicking "I Agree", activating a license key, completing checkout, or continuing to use the Software — constitutes valid agreement under Section 4 and Section 5 of the IT Act.
