Welcome to WHATSENDER PRO ("Company", "we", "our", "us")!

These Terms of Service ("Terms", "Terms of Service") govern your use of our website at whatsenderpro.com, the free online tools published at whatsenderpro.com/free-tools/, the WhatSender Pro desktop software, the WhatSender Pro Chrome browser extension, license and support services, and related offerings (collectively, the "Service") operated by WHATSENDER PRO. Our Privacy Policy also governs your use of our Service and explains how we collect, safeguard and disclose information that results from your use of our web pages. Your agreement with us includes these Terms and our Privacy Policy ("Agreements").

You acknowledge that you have read and understood Agreements, and agree to be bound by them. If you do not agree with (or cannot comply with) Agreements, then you may not use the Service, but please let us know by emailing at support@whatsenderpro.com so we can try to find a solution. These Terms apply to all visitors, users and others who wish to access or use Service.

We reserve the right to withdraw or amend our Service, and any service or material we provide via Service, in our sole discretion without notice. We will not be liable if for any reason all or any part of Service is unavailable at any time or for any period. From time to time, we may restrict access to some parts of Service, or the entire Service, to users, including registered users.

EULA: By using our software, you agree to abide by the following terms of usage:

• Once a software license has been activated, it may not be regenerated, transferred, changed, or reactivated on another system except as expressly approved by WHATSENDER PRO under our discretionary transfer policy.
• This restriction applies even if your computer is formatted, lost, damaged, replaced, or you no longer have access to the original system. You have no automatic right to a transfer or recovery.
• No refund shall be provided against your license once activated on a machine.
• This software will only scrape publicly available information from respective website(s) if and until the website is accessible from your machine. If either of your machine, network or IP is blocked by the respective website(s), it will not be considered as a software failure.
• If the software fails to work properly at any point of time during your licensed period, you must allow up to 30 days for a discovered issue to be fixed.
• In the event of software failure or discontinuation (due to technical limitations), you can request to convert your license to another offering from our range of software. This can only be availed once.
• Redistribution of this software (regardless of purpose) is not permitted. Failing to do so, your license shall be cancelled immediately.
• You agree to indemnify us from any liability, obligation or responsibility for any loss or damage whatsoever derived from the usage of this software or obtained information.
• Each license is valid for a single Windows PC installation unless explicitly stated otherwise in your purchase plan.
• Sharing, reselling, sublicensing, or publishing license keys without written authorization from WHATSENDER PRO is strictly prohibited.

Discretionary License Transfer (Not a Right)

WHATSENDER PRO is under no obligation to transfer, reactivate, or regenerate any activated license. If, in our sole and absolute discretion, we approve a one-time transfer or reactivation to a different machine, you must pay a non-refundable administrative fee equal to ninety percent (90%) of the original license purchase price for that license.

• Transfer or recovery is a paid service only — it is not a refund, credit, or replacement warranty.
• You must submit a written request through official support channels with valid proof of purchase and license ownership.
• We may require investigation and verification (typically 15–20 business days) before any decision.
• We may approve or deny any request without obligation to provide reasons.
• Upon approval, the license on the original machine is permanently voided; only one approved transfer per license is permitted unless we agree otherwise in writing.
• The 90% fee does not extend, pause, or renew your license term. Remaining time on the original license continues as-is.
• Requests involving suspected fraud, chargebacks, license sharing, or policy violations are automatically ineligible.

Local-First Operation

WhatsApp message content, contact databases, call recordings, and most operational data are stored on your Windows PC or in your browser unless you explicitly enable a feature that transmits data to a third-party API you configure (for example Meta Cloud API, Google, Twilio, or AI providers).

Limited Server Communication

To deliver and protect our products, limited data may be transmitted to WHATSENDER PRO servers — including license activation and validation, trial signup, purchase records, support communications, fraud prevention signals, and optional extension features described in our Privacy Policy. We do not claim access to your private WhatsApp chats unless you voluntarily use connected cloud features.

Your Responsibility

You are responsible for data you import, message, export, or record using the software. WHATSENDER PRO provides tooling only and does not control how you use contact data or comply with consent laws.

Automation

The software allows you to record and simulate manual operations made on your PC to automate repetitive actions. It is NOT a spamming tool.

You are solely responsible for ensuring that all messaging activity conducted through WHATSENDER PRO complies with applicable laws, WhatsApp Business Policies, Meta Commerce Policies, and local anti-spam regulations.

• You must obtain explicit opt-in consent from recipients before sending promotional or automated messages.
• WHATSENDER PRO does not supply contact lists, leads, or verified opt-in databases.
• You must honour unsubscribe, block, and opt-out requests immediately.
• Use of Meta Cloud API features requires compliance with approved template rules and messaging windows.
• Any fines, penalties, or account restrictions arising from your messaging practices are your sole responsibility.

WhatSender Pro desktop software, the Chrome extension, and Twilio-connected voice features may allow you to record calls or capture audio when you explicitly start recording.

Call recording laws vary by country and state. In many jurisdictions — including parts of India, the EU, UK, and United States — you must obtain consent from all parties before recording a conversation. You are solely responsible for determining whether recording is lawful in your jurisdiction and for providing any required notice or consent.

• Recordings initiated through the Chrome extension are saved locally on your device; WHATSENDER PRO does not upload call audio to our servers.
• Recordings made through Twilio or other telephony providers are subject to that provider's policies and applicable telecom regulations.
• You must not use recording features for unlawful surveillance, harassment, or interception of communications without authorization.
• You indemnify WHATSENDER PRO against any claim, penalty, or regulatory action arising from your failure to obtain required recording consent.

The WhatSender Pro Chrome extension operates only on https://web.whatsapp.com and requires a valid extension license or approved trial. By installing or using the Extension, you agree to these Terms and our Privacy Policy.

The Extension is distributed through the Chrome Web Store and is also subject to Google's Chrome Web Store Developer Program Policies. If Google removes, suspends, or restricts the Extension, affected features may stop working without entitlement to a refund.

• You may not reverse engineer, redistribute, or sublicense the Extension.
• License keys for the Extension are separate from desktop licenses unless your purchase plan explicitly includes both.
• Translation, analytics, and recording features may send limited data to third-party services as described in our Privacy Policy.
• You are responsible for compliance with WhatsApp, Meta, and applicable privacy laws when using Extension features.
• Uninstalling the Extension removes locally stored extension data from your browser profile.

WHATSENDER PRO offers free online tools at whatsenderpro.com/free-tools/ — including WhatsApp utilities (link generator, QR codes, chat widgets, message formatters), PDF tools (merge, split, edit, convert, compress, OCR), media converters (video, audio, image, document), and web/SEO developer tools.

Most free tools do not require a paid license or account. By accessing or using any free tool, you agree to these Terms and our Privacy Policy. Free tools are provided as a convenience to visitors and are separate from paid desktop or extension licenses unless expressly stated otherwise.

Acceptable Use of Free Tools

• You may use free tools for lawful personal or business purposes only.
• You must have the legal right to process any files, images, documents, or personal data you load into a tool.
• You must not use free tools to infringe copyright, distribute malware, process unlawful content, harass others, or violate WhatsApp, Meta, or applicable privacy and anti-spam laws.
• WhatsApp links, QR codes, and messages you generate must be used ethically and only with appropriate recipient consent where required by law.
• You must not scrape, overload, reverse engineer, or automate bulk access to free tools in a way that degrades the Service for other users.
• You must not misrepresent WHATSENDER PRO, imply official affiliation with WhatsApp or Meta, or use our tools to send unsolicited bulk messages.

No Warranty on Tool Output

Free tools are provided "as is" and "as available." Browser-based conversion, editing, and formatting depend on your device, browser, memory, and file complexity. WHATSENDER PRO does not guarantee that every tool will work for every file format, preserve perfect formatting, or produce error-free output. You are responsible for reviewing output before use, sharing, or distribution.

Third-Party Libraries

Some free tools load open-source JavaScript libraries from public content delivery networks (for example pdf-lib, PDF.js, FFmpeg.wasm, or JSZip) to perform conversion or editing in your browser. These libraries run locally after download. Their use is subject to their respective open-source licenses. CDN providers may log standard HTTP request metadata according to their own policies.

Changes, Availability & Suspension

• We may add, modify, limit, or remove any free tool at any time without notice.
• We may block access from specific IPs, networks, or regions if we detect abuse, excessive automated use, or security threats.
• Temporary unavailability due to maintenance, browser updates, or third-party CDN outages does not entitle you to compensation or a refund (free tools are not a paid product).

WHATSENDER PRO collects limited personal data from you as a customer — such as name, email, license details, and payment references — as described in our Privacy Policy.

When you use our software to store, import, message, or export data relating to your own customers, leads, or contacts, you are the primary party responsible for that data. WHATSENDER PRO provides tooling only; we do not control the content you upload, the lists you import, or the messages you send.

Data You Must Not Process Without Authority

• Contact phone numbers, names, and message content belonging to third parties
• Sensitive personal data as defined under the DPDP Act or other applicable law (including health, biometric, financial, or children's data) unless you have a lawful basis and appropriate safeguards
• Data obtained through scraping, purchased lists, or sources without documented consent
• Government-issued identification numbers, passwords, or credentials of third parties

These Terms incorporate compliance with India's Digital Personal Data Protection Act, 2023 (DPDP Act) where applicable. By using WHATSENDER PRO, you acknowledge that you have read our Privacy Policy and agree to the data practices described therein.

WHATSENDER PRO processes your account, license, billing, and support data as a Data Fiduciary for the limited purposes of delivering and securing our services. We do not use your purchase data to sell personal information to unrelated third parties.

Your Obligations as a User / Data Fiduciary

• Provide accurate information during purchase, activation, trial signup, and support interactions.
• Obtain valid consent or another lawful basis before messaging individuals through WhatsApp or any connected channel.
• Issue clear privacy notices to your own customers and honour opt-out, block, and erasure requests promptly.
• Not use WHATSENDER PRO to process personal data of children under 18 without verifiable parental consent and a lawful purpose.
• Implement reasonable security on your devices, including protection of license keys, API tokens, and exported contact files.
• Notify us without undue delay if you become aware of unauthorized access to your WHATSENDER PRO installation that may affect data security.

WHATSENDER PRO Rights & Protections

• We may suspend or terminate licenses where we reasonably believe you are processing personal data unlawfully or in violation of WhatsApp, Meta, or applicable privacy laws.
• We may retain license, billing, and fraud-prevention records as long as necessary to comply with law, enforce these Terms, and protect our legitimate business interests.
• We may refuse or charge for data access requests that are repetitive, manifestly unfounded, or disproportionate, as permitted under applicable law.
• We are not liable for your failure to obtain consent from your recipients, your misuse of contact data, or regulatory penalties imposed on you for your messaging practices.
• Where you connect third-party APIs (Meta, Google, Twilio, AI providers), their data processing terms apply in addition to ours; we are not responsible for provider-side logging or retention.

Grievance Redressal

For privacy-related grievances concerning data WHATSENDER PRO collects about you, visit our Grievance Officer page at https://www.whatsenderpro.com/grievance-officer/ or contact support@whatsenderpro.com with the subject "DPDP Grievance". We will acknowledge and address valid complaints in accordance with the DPDP Act and our Privacy Policy.

WHATSENDER PRO connects to external platforms through official APIs so you can use advanced features from your own accounts. These integrations include Meta WhatsApp Cloud API, AI agent providers, Google APIs, and Twilio.

WHATSENDER PRO acts only as a local desktop connector. We do not host your API credentials on our servers, do not operate these third-party services on your behalf, and are not a reseller of Meta, Google, Twilio, or any AI provider.

By linking any third-party account inside the software, you authorize WHATSENDER PRO to transmit API requests from your PC using credentials you supply, solely to deliver the features you enable.

Third-party APIs are not included in your WhatSender Pro license price. Meta WhatsApp Cloud API, Twilio, OpenAI, Google Gemini, Anthropic Claude, DeepSeek, and similar services charge their own fees directly to your accounts. WhatSender Pro never provides free API credits, subsidized tokens, or bundled API access for these providers.

The following terms apply whenever you connect external API accounts to WHATSENDER PRO. These terms are in addition to — and do not replace — each provider's own terms of service, developer policies, and acceptable use rules.

General API Connection Rules

• API keys, tokens, and OAuth credentials are entered and stored locally on your Windows PC unless you explicitly configure otherwise.
• WHATSENDER PRO does not guarantee compatibility with every API tier, region, pricing plan, or future API version released by third parties.
• If a provider changes, deprecates, rate-limits, or revokes API access, affected features may stop working without notice and without entitlement to a refund.
• You must not use connected APIs for unlawful, abusive, fraudulent, or policy-violating activity.
• You indemnify WHATSENDER PRO against any claim, penalty, or loss arising from your API usage, connected account activity, or violation of a provider's policies.
• We may disable or remove integration modules at any time due to legal, security, or technical requirements without liability.

Meta WhatsApp Cloud API

Purpose

Used to send official template messages, manage WhatsApp Business accounts, configure webhooks, and access Meta-approved business messaging features from within WHATSENDER PRO.

Your Obligations

You must maintain a valid Meta Business account, approved WhatsApp Business phone number, compliant message templates, and an active Meta developer app. You are responsible for all Meta conversation charges, template approvals, quality ratings, and policy compliance. Meta Cloud API usage is not free and is not included in your WhatSender Pro license.

WHATSENDER PRO Disclaimer

We are not Meta, WhatsApp, or an official Meta partner unless expressly stated in writing. We do not guarantee template approval, delivery rates, account quality scores, or continued API availability. Meta may restrict, suspend, or ban your business account independently of WHATSENDER PRO.

Data Handling

Message content and recipient data processed via Meta Cloud API are subject to Meta's terms and privacy policies. WHATSENDER PRO processes only the metadata and configuration required to operate the integration from your device.

AI Agents API (OpenAI, Gemini, Claude, DeepSeek & Others)

Purpose

Used to power AI auto-reply agents, chatbot responses, training hubs, and automated message generation features when you supply your own API keys from supported AI providers.

Your Obligations

You must comply with each AI provider's usage policies, content restrictions, and billing terms. You are responsible for all token usage, API costs, model availability, and the legality of prompts and generated outputs sent to your contacts. AI services are not free — you must maintain an active paid or trial account with each provider you choose and accept their charges.

No API Included With License

WhatSender Pro does not include OpenAI, Google Gemini, Anthropic Claude, DeepSeek, or any other AI API access in your software license. We do not provide free API keys, shared API pools, or promotional token credits. You must obtain your own API keys from each provider and connect them in the software if you want online AI agents.

WHATSENDER PRO Disclaimer

AI responses are generated by third-party models, not by WHATSENDER PRO. We do not guarantee accuracy, appropriateness, legality, or fitness of AI-generated content. You must review automated replies before deployment and accept full responsibility for messages sent to end users.

Data Handling

Prompts, training documents, and conversation context you submit may be transmitted directly from your PC to the AI provider you select. WHATSENDER PRO does not sell or share your AI data with other customers, but provider-side logging and retention are governed solely by that provider's policies.

Google API (Contacts & Related Services)

Purpose

Used to import, sync, and manage Google Contacts and related contact data inside WHATSENDER PRO when you authorize OAuth access from your Google account.

Your Obligations

You must comply with Google API Services User Data Policy, Google's Terms of Service, and all applicable privacy laws when importing or messaging contacts obtained through Google.

WHATSENDER PRO Disclaimer

We are not Google and do not control Google account security, OAuth consent screens, API quotas, or access revocation. If Google restricts your project or suspends API access, contact sync features may fail without compensation.

Data Handling

Synced Google contact data is stored locally on your device. WHATSENDER PRO does not upload your Google contacts to our servers. You may revoke access at any time through your Google Account permissions.

Twilio API (Voice & Telephony)

Purpose

Used to connect AI voice caller, outbound calling, SMS, and telephony automation features when you link your own Twilio account credentials.

Your Obligations

You must maintain a valid Twilio account, verified numbers, compliant caller ID usage, and adherence to Twilio's Acceptable Use Policy and local telecom regulations. You are solely responsible for all Twilio usage fees, failed call charges, and regulatory compliance (including DNC lists and consent requirements). Twilio is not free and is not included in your WhatSender Pro license.

WHATSENDER PRO Disclaimer

We are not Twilio and do not provision phone numbers, carrier routes, or voice infrastructure on your behalf. WHATSENDER PRO is not liable for call failures, number blocking, carrier filtering, billing disputes, or regulatory penalties arising from your Twilio usage.

Data Handling

Call metadata, recordings, and telephony logs generated through Twilio are processed according to Twilio's policies. WHATSENDER PRO only facilitates API calls initiated from your licensed installation.

Website Access

It is not necessary to register with us in order to use most parts of this Website. However, particular areas of this Website will only be accessible if you have registered.

Site Availability

All reasonable measures are taken by us to ensure that this Website is operational all day, every day. However, occasionally technical issues may result in some downtime and accordingly we will not be liable if this website is unavailable at any time.

Maintenance Notice

Where possible we always try to give advance warning of maintenance issues that may result in website down time but we shall not be obliged to provide such notice.

WHATSENDER PRO is a third-party automation tool that operates on top of the WhatsApp platform. We do not own, control, or have any official affiliation with WhatsApp Inc. or Meta.

When you create an account with us, you guarantee that you are above the age of 18, and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account.

You are responsible for maintaining the confidentiality of your account and password. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password.

You may not use as a username the name of another person or entity that is not lawfully available for use, or any name that is offensive, vulgar or obscene. We reserve the right to refuse service or terminate accounts in our sole discretion.

The software, including its code, architecture, and documentation, is the exclusive intellectual property of WHATSENDER PRO. It is licensed to you, not sold.

Reverse Engineering Ban

• Reverse engineering, decompiling, or disassembling the software.
• Attempting to derive the source code.
• Creating derivative works.
• Circumventing any activation or licensing mechanisms.
• Removing, altering, or obscuring proprietary notices, watermarks, or branding.

Our Service allows you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ("Content"). You are responsible for Content that you post on or through Service, including its legality, reliability, and appropriateness.

By posting Content on or through Service, you represent and warrant that: (i) Content is yours (you own it) and/or you have the right to use it and the right to grant us the rights and license as provided in these Terms, and (ii) that the posting of your Content on or through Service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person or entity.

Copyright Compliance

We reserve the right to terminate the account of anyone found to be infringing on a copyright. Content found on or through this Service are the property of WHATSENDER PRO or used with permission.

Our Service may contain links to third party web sites or services that are not owned or controlled by WHATSENDER PRO. We have no control over, and assume no responsibility for the content, privacy policies, or practices of any third party.

In addition to other prohibitions set forth in the Terms, you are prohibited from using the App or its content for:

1. 01 Any unlawful purpose or soliciting others to perform unlawful acts.
2. 02 Violating international, federal, provincial or state regulations, rules, or laws.
3. 03 Infringing upon our intellectual property rights or the rights of others.
4. 04 Harassing, abusing, insulting, harming, defaming, slandering, or intimidating based on gender, orientation, religion, or race.
5. 05 Submitting false or misleading information.
6. 06 Uploading viruses or any other type of malicious code that will affect functionality.
7. 07 Collecting or tracking the personal information of others.
8. 08 Spamming, phishing, pharming, pretexting, spidering, crawling, ransomware attacks, or unauthorized scraping.
9. 09 Any obscene or immoral purpose.
10. 10 Interfering with or circumventing security features.
11. 11 Engaging in WhatsApp spamming or unauthorized automation messages.
12. 12 Using the software to send bulk unsolicited messages without documented recipient consent.

Prices for our services are subject to change without notice. We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time.

We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service.

Promotional pricing, coupon codes, and reseller discounts are offered at our sole discretion and may be revoked or amended at any time.

Refund Conditions

Given the nature of the product i.e., a software that helps you send messages to your audience which works right from the start of your license, no refunds shall be provided once the license key is activated and used or purchased. In international purchase, whether the license is activated or non-activated, no refunds shall be provided.

Refund Limitations

No refunds shall be given in case any of the client's WhatsApp numbers got blocked by their respective service provider or the target audience. This completely depends on the use case.

User Indemnification

You agree to indemnify, defend, and hold harmless WHATSENDER PRO and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including reasonable attorney's fees) resulting from: (a) your use and access of the Service, desktop software, or Chrome extension; (b) your breach of these Terms or applicable law; (c) content, messages, recordings, or data you send, store, or process through the Service; (d) your handling of third-party personal data, including failure to obtain consent; (e) your use of connected APIs (Meta, Google, Twilio, AI providers); (f) WhatsApp account suspension, telecom penalties, or regulatory fines arising from your messaging or calling practices; or (g) any negligent or wrongful act by you or your employees, contractors, or agents.

Limitation of Liability

In no event shall Company be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, except where such exclusion is prohibited by applicable law.

WHATSENDER PRO shall not be liable for any failure or delay in performing obligations where such failure results from events beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, civil unrest, government actions, labour disputes, internet or telecommunications failures, power outages, hosting provider outages, changes to WhatsApp/Meta/Google/Twilio/Chrome Web Store policies or APIs, platform blocking, security updates by third parties, epidemics, or supply chain disruptions.

If a Force Majeure event materially affects the Service for more than thirty (30) consecutive days, we may suspend affected features. Such events do not entitle you to a refund except where required by mandatory consumer protection law.

WHATSENDER PRO respects the intellectual property rights of others and expects users, visitors, and third parties to do the same. We actively protect our website theme, source code, visual design, branding, layout, styling, graphics, documentation, and all written content published on whatsenderpro.com and related domains.

If you believe that any website, theme, code, design, or content substantially copies or misappropriates WHATSENDER PRO materials without authorization, you may submit a copyright infringement notice under the Digital Millennium Copyright Act (DMCA) and applicable international copyright laws.

Filing a DMCA Takedown Notice

To report infringement of WHATSENDER PRO intellectual property, or to report infringing material appearing on a third-party site that copies our work, send a written notice to our designated Copyright Agent with all of the following information:

• A physical or electronic signature of the copyright owner or a person authorized to act on their behalf.
• Identification of the copyrighted work claimed to have been infringed, including whether the claim relates to website theme code, visual design, written content, branding, or a combination thereof.
• Identification of the infringing material and the URL or specific location where the unauthorized copy appears.
• Your full name, mailing address, telephone number, and email address.
• A statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
• A statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.

Copyright Agent Contact

Send DMCA notices and intellectual property complaints to: support@whatsenderpro.com. Use the subject line "DMCA Takedown Notice" and include all required details above. Incomplete notices may delay processing.

Our Response to Infringement

• We review valid notices promptly and may remove, disable access to, or demand removal of infringing copies of our website theme, code, style, or content.
• We may notify hosting providers, domain registrars, marketplaces, and search engines when unauthorized clones of our site or theme are identified.
• We reserve the right to pursue civil remedies, injunctive relief, and damages against parties that copy, resell, redistribute, or publish derivative versions of our website or software without permission.
• Repeat infringers may be permanently blocked from purchasing, licensing, or accessing WHATSENDER PRO services.

Counter-Notification

If you believe material was removed or disabled by mistake or misidentification, you may submit a counter-notification to our Copyright Agent containing: (1) your signature; (2) identification of the removed material and its location before removal; (3) a statement under penalty of perjury that you have a good faith belief the material was removed in error; (4) your name, address, phone number, and consent to jurisdiction of the courts of New Delhi, India.

Your access to WHATSENDER PRO is based on a subscription-license model. We offer flexible license durations to suit your business needs:

Renewal Protocol

Automatic vs Manual: While certain license cycles may have automatic billing during the active period, once your license has expired, you must renew again manually to restore access to security updates, technical support, and the latest software versions.

Failure to renew manually after expiration will result in account suspension.

Expired licenses do not entitle you to retroactive updates, patches, or support for versions released after expiration.

• Authorized resellers must comply with WHATSENDER PRO pricing, branding, and marketing guidelines.
• Resellers may not misrepresent affiliation with WhatsApp, Meta, or WHATSENDER PRO as an official partner unless expressly authorized in writing.
• Bulk or white-label licensing requires a separate written agreement.
• WHATSENDER PRO may revoke reseller status for policy violations, chargebacks, or fraudulent sales activity.

Your use of WHATSENDER PRO must comply with India's Information Technology Act, 2000, IT Rules 2021, the Digital Personal Data Protection Act, 2023, and applicable provisions of the Indian Penal Code and Bharatiya Nyaya Sanhita relating to cheating, fraud, forgery, defamation, intimidation, stalking, privacy violations, and cyber offences. You agree that WHATSENDER PRO is a neutral technology provider and intermediary to the extent permitted by Section 79 of the IT Act. You are solely responsible for all messages, data, recordings, and outreach conducted through the software. Criminal or cyber offences committed using our tools are your personal liability.

• No phishing, identity theft (IT Act §66C), cheating by personation (§66D), or fraud (IPC/BNS).
• No obscene, exploitative, or child-harm content (IT Act §§67–67B).
• No unauthorized access, malware, tampering, or damage to computer systems (IT Act §§43, 65, 66).
• No harassment, threats, extortion, defamation, piracy, or cracked-license distribution.
• License transfer is discretionary only; 90% transfer fee applies if approved; no free transfer on stolen or formatted PCs.
• You are the Data Fiduciary for recipient data; WHATSENDER PRO is not liable for your messaging or local data handling.
• Fraudulent chargebacks or payment disputes may result in immediate license revocation without refund.
• Report illegal use to support@whatsenderpro.com or cybercrime.gov.in (India).

These Terms shall be governed and construed in accordance with the laws of India, including the Digital Personal Data Protection Act, 2023, the Information Technology Act, 2000, and applicable rules and regulations. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Nothing in these Terms limits any non-waivable rights you may have as a Data Principal under the DPDP Act or as a consumer under applicable mandatory law in your country of residence.

Exclusive Jurisdiction (India)

Subject to the arbitration and international provisions below, any dispute arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of New Delhi, India.

Informal Resolution

Before initiating formal proceedings, you agree to contact us at support@whatsenderpro.com with a written description of the dispute. We will attempt in good faith to resolve the matter within thirty (30) days.

Arbitration (International Users)

If you are located outside India and informal resolution fails, either party may elect to resolve the dispute through binding arbitration administered under the Arbitration and Conciliation Act, 1996 (India), seated in New Delhi, in English, before a sole arbitrator mutually appointed or, failing agreement, appointed in accordance with the Act.

Either party may seek interim injunctive relief in a court of competent jurisdiction to protect intellectual property or prevent unauthorized use of the software pending arbitration.

Where mandatory consumer protection law in your jurisdiction prohibits arbitration or requires local court access, those mandatory rights prevail over this clause.

Class Action Waiver (United States)

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.

These Terms, together with the Privacy Policy and any purchase-specific license terms, constitute the entire agreement between you and WHATSENDER PRO regarding the Service.

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
